These Terms of Service govern your use of the CodeVault Labs website and the engagement of our services. By accessing our website or engaging our services, you agree to be bound by these terms.
1. About Us
CodeVault Labs Pty Ltd (ABN 81 425 763 198) is a web development studio registered in Victoria, Australia, with its principal office at Level 15, 600 Bourke Street, Melbourne, VIC 3000.
2. Services
We provide web development, software engineering, and technical consulting services as described on our website. The specific scope, timeline, and deliverables for each engagement are defined in individual project agreements between CodeVault Labs and the client.
3. Project Agreements
All project work is governed by a separate project agreement or statement of work that outlines scope, deliverables, timeline, payment terms, and acceptance criteria. These terms supplement but do not override the specific terms of any project agreement.
4. Payment Terms
- All prices are quoted in Australian dollars and are exclusive of GST unless otherwise stated
- Payment schedules are defined in individual project agreements
- Invoices are due within 14 days of issue unless otherwise agreed
- Late payments may incur interest at a rate of 2% per month on the outstanding balance
5. Intellectual Property
Upon full payment, clients receive ownership of the custom code and design assets created specifically for their project. CodeVault Labs retains the right to use general-purpose tools, libraries, and frameworks developed independently. We reserve the right to showcase completed work in our portfolio unless the client requests otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project engagement. This obligation survives the termination of the project agreement for a period of two years.
7. Warranties and Limitations
We warrant that our services will be performed with reasonable skill and care. To the maximum extent permitted by Australian consumer law, our liability is limited to the fees paid for the specific services giving rise to the claim. We do not warrant uninterrupted or error-free operation of delivered software.
8. Termination
Either party may terminate a project agreement by providing 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. CodeVault Labs will deliver all completed work product upon receipt of final payment.
9. Website Use
You may use our website for informational purposes and to contact us about potential projects. You may not use our website for any unlawful purpose, attempt to gain unauthorised access to our systems, or reproduce our content without written permission.
10. Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
11. Governing Law
These terms are governed by the laws of the State of Victoria, Australia. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Victoria.
12. Changes to These Terms
We may update these terms from time to time. Changes will be posted on this page with an updated revision date.
